NTV: CHIUSO IN ANTICIPO COLLOCAMENTO EMISSIONE SENIOR SECURED A TASSO VARIABILE

Importo aumentato da 500 a 550 milioni di euro per soddisfare

la domanda degli investitori che ha superato 4 volte l’offerta

Prezzo di emissione pari al 100%

Roma, 15 giugno 2017. Nuovo Trasporto Viaggiatori ha fissato in data odierna il prezzo del prestito obbligazionario senior secured a tasso variabile, con scadenza 2023. La prima emissione per NTV, ha ottenuto un importante successo ricevendo una richiesta circa quattro volte superiore all’offerta, permettendo così di chiudere in anticipo il collocamento. La forte domanda ha consentito altresì all’emittente di aumentare l’offerta a 550 milioni di euro, rispetto ai previsti 500 milioni.

Le Obbligazioni avranno una cedola indicizzata al tasso EURIBOR a 3 mesi, con un floor pari allo 0%, in aggiunta al 3,5% annuo e un prezzo di emissione pari al 100%. Le Obbligazioni costituiscono obbligazioni senior della Società e si prevede che saranno assistite da pegno su azioni della medesima. Ci si attende che l’offerta delle Obbligazioni, soggetta a condizioni di mercato, sia completata entro il 23 giugno 2017.

Le Obbligazioni hanno ricevuto rating pari a B1 da Moody’s e B+ da S&P, con outlook positivo e BB da Fitch, indicatori dell’apprezzamento dell’operazione di riposizionamento della compagnia, con un utile 2016 di 28 milioni e un EBITDA di 96, e di quanto gli investitori credano nel piano industriale e negli investimenti previsti per i prossimi anni.

Il bond è offerto esclusivamente ad investitori qualificati al di fuori dagli Stati Uniti d’America ai sensi della Regulation S promulgata ai sensi dello US Securities Act del 1933, come modificato, e a qualified institutional buyers, come definiti ai sensi della Rule 144A promulgata ai sensi del medesimo US Securities Act. Le Obbligazioni saranno ammesse alla quotazione sul Listino ufficiale della Borsa del Lussemburgo e alle negoziazioni presso il mercato Euro MTF della Borsa del Lussemburgo.

La Società prevede inoltre di sottoscrivere un nuovo contratto di finanziamento di importo indicativamente pari a €160.000.000, costituito da una linea di credito term loan e da una linea di credito revolving che sarà assistito, su base pari passu, dalle stesse garanzie delle obbligazioni.

La società intende utilizzare i proventi dell’offerta e collocamento delle obbligazioni nonché del relativo nuovo contratto di finanziamento per rimborsare il proprio indebitamento finanziario.

Banca IMI (Gruppo Intesa Sanpaolo) e Credit Suisse hanno agito in qualità di Joint Bookrunners e Global Coordinators, Goldman Sachs International, come Joint Bookrunner e Banca Akros (Gruppo BANCO BPM) e MPS Capital Services in qualità di Co-Managers.
